Non-Security Disclaimer
The Whispering Woods Agarwood stewardship program is not an offering of securities, shares, equity, bonds, or any other financial instrument under the laws of the Republic of the Philippines or any other jurisdiction.
Stewards pay for agricultural land use, watering and maintenance services, and long-term tree cultivation management. In plain terms: you are paying farmers to care for trees on agricultural land.
This program does not constitute an investment contract, a collective investment scheme, a commodity future, or a franchise agreement. Revenue participation (Tier 2 and 3) is contingent, not guaranteed, and incidental to the primary service of land use and cultivation.
This program has not been registered with the Philippine Securities and Exchange Commission (PSEC) or any other securities regulatory body. No government authority has reviewed, approved, or endorsed this program.
Risk Disclosure Statement
Participation in the Whispering Woods stewardship program involves material risks. The Steward may not recover the full amount paid under the Stewardship Agreement. You should only participate with funds you can afford to commit for the full 7-year term without expectation of financial return.
Key Risks:
- Biological risk: Trees may not produce resin, may be affected by disease, pests, or natural disasters.
- Harvest uncertainty: There is no fixed or guaranteed harvest date or timeline.
- Market risk: Agarwood prices fluctuate based on global supply and demand.
- Operational risk: Agricultural operations depend on weather, labor, and infrastructure.
- Currency risk: USD-PHP exchange rates may affect payments and proceeds.
- No capital guarantee: You may not recover your full payment.
- Liquidity risk: Steward Units are not freely tradeable. There is no secondary market.
- Force majeure: Natural disasters, pandemics, or government action may disrupt operations.
We strongly recommend consulting with qualified legal, financial, and tax professionals before participating.
Harvest Contingency Disclaimer
There is no guarantee that any individual tree will produce harvestable agarwood resin. Resin formation is a complex biological process influenced by genetics, environment, inoculation, and many other factors.
The 7-year stewardship term is the expected cultivation period, not a guaranteed harvest date. Some trees may be ready earlier; others may require additional time.
For Tier 2 and Tier 3 Stewards: Revenue participation (60% Steward / 40% Operator) applies only when harvest occurs and agarwood is sold at commercial value. Net proceeds may be zero if the tree produces no viable resin. Net proceeds may be less than the original payment.
Regardless of harvest outcomes, the Steward's payment covers land use, watering, and maintenance services delivered throughout the 7-year term.
Data Privacy Notice
Whispering Woods Agarwood is committed to protecting the personal data of our Stewards and website visitors. We comply with the Philippine Data Privacy Act (RA 10173) and applicable international privacy laws.
What We Collect
We collect information you provide (name, email, phone, address, tier preferences) and information collected automatically (browser type, pages visited, cookies).
How We Use It
To process Stewardship Agreements, assign Tree IDs, provide updates, respond to inquiries, and send marketing communications (with your consent). We do not sell your personal data.
Your Rights
You have the right to access, correct, or delete your personal data. You can unsubscribe from marketing emails at any time. For data privacy requests, contact us at our privacy email address.
International Transfers
Your data may be transferred internationally for operational purposes. We ensure appropriate safeguards for all cross-border transfers.
Stewardship Agreement
The full Stewardship Agreement is provided to all prospective Stewards during the onboarding process. It covers:
- Nature of the agreement (agricultural services, not securities)
- Steward Unit definition and pricing
- What your payment covers (land use, watering, maintenance)
- Tier-specific terms and conditions
- Steward rights and Operator obligations
- Risk disclosure summary
- Term and termination provisions
- Governing law and dispute resolution
